Why is my conversion re-encoding instead of copying?

Because the target container cannot hold the codecs in your file — for example VP9 video in MP4, or H.264 in WebM. In that case the video has to be encoded again, which takes longer.

Are subtitles kept?

The video and all audio tracks are kept. Subtitle tracks are not carried over.
